TERMS OF SERVICE

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “Customer,” or “you”) and PolicyBound, Inc.,a Delaware corporation (“PolicyBound,” “we,” “us,” or “our”), the owner and operator of SuretyCloud™ (the “Service”), and govern youraccess to and use of www.suretycloud.com, www.surety-cloud.com, and related websites, applications, and services (collectively, the “Websites”).
By accessing or using the Service, you agree to these Terms. If you do not agree, you must not use the Service.
POLICYBOUND AND THE SERVICE
SuretyCloud™ is a proprietary software platform owned and operated exclusively by PolicyBound.
PolicyBound provides workflow automation, document management, and data processing tools related to surety bond transactions.
PolicyBound is not:
• A surety carrier• An insurance company• An insurance agency or broker• A guarantor• A fiduciary
Unless expressly stated in a separate written agreement.
PolicyBound does not determine bond eligibility, underwriting decisions, or regulatory compliance obligations of users.
PRIVACY AND DATA RIGHTS
PolicyBound collects and processes personal information in accordance with its Privacy Policy.
If you are a California resident, you have rights under the California Consumer Privacy Act (CCPA) as amended by the California PrivacyRights Act (CPRA), including the right to:
• Know what personal information is collected• Request deletion• Request correction• Opt out of sale or sharing (if applicable)• Limit use of sensitive personal information
PolicyBound does not sell personal information.
Users submitting personal information represent they have all required legal authority, including under:
• Fair Credit Reporting Act (FCRA)• State credit reporting laws• State privacy laws
PolicyBound does not act as a consumer reporting agency.
SHARING OF INFORMATION
Information may be shared:
• With third-party service providers acting on our behalf• With partner surety carriers at your request• In connection with mergers or asset transfers• As required by law• To protect rights and safety
ELECTRONIC COMMUNICATIONS AND SIGNATURES
You consent to receive electronic communications.
The Service operates in compliance with:
• Federal ESIGN Act• Uniform Electronic Transactions Act (UETA)• New York Electronic Signatures and Records Act (ESRA)
Electronic signatures, authentication codes, and digital acknowledgments are legally binding.
USER REPRESENTATIONS AND OBLIGATIONS
You agree to:
• Comply with all federal and state laws• Use the Service only for lawful business purposes• Maintain confidentiality of credentials• Obtain proper authorizations before submitting consumer data
You are solely responsible for compliance with:
• Insurance laws• Surety laws• Credit reporting laws• Sanctions laws• Data protection laws
SUBSCRIPTIONS AND AUTOMATIC RENEWALS
If you purchase a paid subscription:
• Fees and billing frequency will be disclosed before purchase.• Subscriptions automatically renew unless canceled.• You authorize recurring charges.• You may cancel at any time through your account or by contacting support.
For California residents:
• Automatic renewal terms are presented clearly and conspicuously.• You will receive confirmation of renewal terms.• You may cancel online or through an easily accessible method.
ACCOUNT REGISTRATION AND SECURITY
You agree to provide accurate information and maintain account security.
PolicyBound may suspend or terminate accounts for:
• Security concerns• Regulatory concerns• Non-payment• Breach of these Terms
RELATIONSHIP TO DOCUMENTS
PolicyBound acts solely as a technology provider.
PolicyBound disclaims responsibility for:
• Underwriting decisions• Bond approvals or denials• Claims outcomes• Legal enforceability of documents
Users assume all risk relating to bond transactions.
MAINTENANCE AND AVAILABILITY
The Service may be unavailable during maintenance.
PolicyBound is not liable for outages caused by:
• Cyberattacks• Internet failures• Third-party systems• Force majeure events
DISCLAIMER OF WARRANTIES
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”
POLICYBOUND DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:
• MERCHANTABILITY• FITNESS FOR A PARTICULAR PURPOSE• NON-INFRINGEMENT
PolicyBound does not warrant uninterrupted or error-free operation.
Nothing in this section limits liability where such limitation is prohibited by law.
LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
POLICYBOUND SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
POLICYBOUND’S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF:
(a) FEES PAID IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR(b) $10,000.
This limitation does not apply to:
• Fraud• Willful misconduct• Gross negligence• Violations of law that cannot be waived
Some states do not allow certain limitations; in such states, liability is limited to the maximum extent permitted by law.
INDEMNIFICATION
You agree to indemnify and hold harmless PolicyBound from claims arising out of:
• Your use of the Service• Your breach of these Terms• Your regulatory violations• Your underwriting or credit decisions
INTELLECTUAL PROPERTY
All right, title, and interest in SuretyCloud™, including software and trademarks, are owned exclusively by PolicyBound.
No rights are transferred to you except the limited license granted herein.
DISPUTE RESOLUTION
Binding Arbitration
Except where prohibited by law, disputes shall be resolved by binding arbitration administered by the American Arbitration Association (AAA).
Arbitration shall take place in Delaware unless otherwise required by applicable law.
Arbitration Opt-Out
You may opt out of arbitration within thirty (30) days of accepting these Terms by sending written notice to legal@policybound.com.
Class Action Waiver
Claims must be brought individually. Class actions are waived.
Jury Trial Waiver
Each party waives the right to trial by jury.
GOVERNING LAW
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.
Where state law requires local venue or statutory rights cannot be waived, such provisions apply.
SEVERABILITY
If any provision is unenforceable, remaining provisions remain in effect.
ASSIGNMENT
PolicyBound may assign these Terms without consent.
You may not assign without written approval.
ENTIRE AGREEMENT
These Terms constitute the entire agreement unless superseded by a separate written agreement.
ACCEPTANCE
